Terms of Service

1. Acceptance of Terms

By accessing and using Tokwork ("the Service"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree, you must not use the Service.

2. Eligibility

  • You must be at least 18 years old to use the Service.
  • You must have authority to bind your business if registering on behalf of an entity.
  • You must not be located in, or ordinarily resident of, any jurisdiction subject to comprehensive sanctions, or otherwise prohibited under applicable export control laws.

3. Service Description

Tokwork connects businesses with nano-influencers (KOLs) for social media campaigns. The Service includes website widget integration, social account authorization, automated content suggestions, tracking, and payment processing.

4. Use License

We grant you a limited, revocable, non-transferable license to access and use the Service for personal or commercial purposes in accordance with these Terms. This is a license, not a transfer of title.

5. User Responsibilities

For Businesses

  • Maintain sufficient funds or payment methods for KOL payouts.
  • Provide accurate product/service information and campaign instructions.
  • Comply with applicable advertising and consumer protection laws (including disclosure requirements).

For KOLs (Influencers)

  • Authorize only accounts you own and maintain access.
  • Keep posts live for the agreed minimum duration and follow campaign brief.
  • Ensure content complies with platform guidelines and disclose sponsorships where required by law or platform rules.

6. Payments & Fees

A 10% commission applies to payouts to KOLs. Earnings are calculated based on agreed metrics (e.g., views, likes, comments, shares). You authorize us and our processors to charge your selected payment method. Refunds, chargebacks, or adjustments are handled per campaign terms and applicable law.

7. Content Ownership & Licenses

  • KOLs retain ownership of their posted content.
  • Businesses receive a limited license to reference campaign content for tracking and reporting during the campaign.
  • You grant Tokwork a non-exclusive, worldwide, royalty-free license to host, display, and analyze content solely to provide and improve the Service.

8. Prohibited Activities

  • Fake engagement, bot activity, or manipulation of metrics.
  • Misleading, fraudulent, or unlawful content; infringement of third-party rights.
  • Violations of social platform terms or community guidelines.
  • Circumventing payment flows or attempting to avoid Service fees.

9. Third-Party Services & APIs

The Service integrates with third-party platforms and providers (e.g., social networks, payment processors). Your use of such services may be subject to their terms. We are not responsible for changes or limitations in third-party APIs or services.

10. Compliance, Advertising Disclosures & Moderation

You must comply with applicable laws (including advertising disclosures and consumer protection) and platform rules. We may moderate or remove content that violates these Terms or legal requirements.

11. Termination & Suspension

We may suspend or terminate accounts for violations, fraud, abuse, or non-payment. Upon termination, licenses granted by Tokwork terminate, and outstanding obligations (including payment) survive.

12. Warranties Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR RESULTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOKWORK AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO TOKWORK IN THE 12 MONTHS PRECEDING THE EVENT.

14. Indemnification

You agree to indemnify and hold harmless Tokwork, its affiliates, and personnel from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your content, or your breach of these Terms.

15. Export Controls & Sanctions

You represent that your use of the Service complies with applicable export control and sanctions laws. You will not use the Service in violation of such laws.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of [insert governing law, e.g., England & Wales / State of California], excluding its conflict of laws rules. Disputes will be resolved by [insert forum: competent courts / arbitration rules and seat]. Consumers may also have mandatory rights under local laws.

17. Changes to Terms
